Organizational Redesign
TCG has assisted providers throughout the country in redesigning corporate and organizational structures for mergers, and reorganization and development of integrated service delivery systems.
In redesign efforts, we familiarize ourselves with state licensing requirements, federal Medicare certification requirements and any corporate initiatives that might impact the redesign. We work closely with the staff of the health system and home care to achieve a structure that will complement the existing service delivery system, while at the same time prepare the organization for changes in the delivery system and reimbursement of home care services and health system initiatives. We are experienced in handling the sensitive issues of communications regarding redesign, impact on staff positions, interviewing and rehiring staff into newly created positions or assisting with downsizing should that occur.
Key elements for organizational redesign include:
- Operational Review
Based on the identified needs and prior review already completed by the client, we identify the strengths, weaknesses, opportunities and threats of current structure and implement strategies for change.
- Service Delivery Redesign
TCG has extensive experience in service delivery redesign and implementation for multi-site and multi-service line providers affiliated with hospitals and health systems. TCG has a thorough understanding of the importance of integrating quality patient care delivery, financial performance and organizational mission and values. This is critical for any redesign project whether the goal is for cost reductions or aligning home care service delivery within the continuum of care. Case samples
- Financial Analysis
Our financial analyses vary from brief evaluations of a specific departmental structure to comprehensive reviews of all aspects of an organization’s redesign. TCG prepares budget projections supporting the redesign of an organization. These projections help determine the immediate impact of the redesign on operations and guide staff during the implementation process as it relates to modifications in staffing patterns or expenses.
- Integration
TCG assists clients with all or part of implementing organizational redesign efforts.
This may include:- Integrating administrative and clinical functions
- Training personnel for new positions
- Evaluating office locations
- Developing strategies for closing certain branch office locations
- Consolidating staff into new locations
- Federal Regulations/Compliance
TCG is well known for its expertise in interpreting federal Medicare regulations and their impact on the reorganization or merger of home health and hospice providers. TCG is recognized as a national expert in preparing agencies for Medicare certification and in assisting agencies with post survey compliance issues. TCG closely monitors the Medicare Conditions of Participation for changes to provide leading edge guidance to our clients.
- Labor Relations
TCG assists organizations in determining benefits, severance packages, new employment agreements and termination clauses between partnering organizations or after a reorganization. TCG works in and provides guidance regarding organized labor environments and is familiar with related employment issues. TCG also develops communications crucial to informing staff about the process, deterring rumors and responding to key questions.
- Antitrust Laws
Legal counsel should be used to advise clients on issues regarding antitrust, restraint of trade, Stark II and other considerations prior to finalizing a new corporate structure or merger agreement. TCG works with attorneys experienced in this process. Should external legal counsel be required, TCG identifies counsel to assist with antitrust issues.
- Tax Exemption
TCG has extensive experience in addressing the concerns of tax-exempt organizations. As consideration is given to the structure and organization of a new entity created by the merger of previous companies, careful regard is given to taxation issues.
- Fiduciary Duties of the Boards of Directors
TCG works with a diverse client base, from small rural providers to large urban providers, national chains, regional delivery systems, privately held companies and publicly traded companies. TCG is accustomed to working closely with trustees and directors during the merger determination, selection and negotiation process.
